1. Name
The club will be called Southwest Warriors CIC and will be affiliated to Basketball England.
2. Aims and Objectives
The aims and objectives of the club will be:
To deliver basketball coaching, training, and mentoring for all ages and abilities across Bristol and the Southwest.
To reduce social isolation and anti-social behaviour by creating positive sporting pathways and opportunities to contribute back to the community.
- To support young people's personal and social development through education and sport.
- To provide affordable or free access to basketball for disadvantaged groups.
- To create inclusive sporting environments that promote inclusion, equality, diversity, and wellbeing.
- To collaborate with parents, schools, community organisations, and local authorities to grow participation in basketball.
- To raise aspirations and expand future opportunities for children, young people, and adults from disadvantaged backgrounds through access to new experiences, sport-specific skill development, and transferable skills including leadership, teamwork, communication, and project planning.
- To maintain and regularly review safeguarding policies and procedures, including DBS requirements for relevant roles, in line with statutory guidance.
- To uphold the Equality Act 2010 and promote inclusive access to all activities, ensuring services are accessible and non-discriminatory.
3. Membership
Membership consists of officers and members of the club. All members are subject to the regulations of this constitution and by joining the club will be deemed to accept these regulations, the club's codes of conduct, and the policies and rules of Basketball England.
Members will be enrolled in one of the following categories:
- Development Hub (ages 12-16)
- Primary Development (primary school age)
- U16s Elite
- U12s Elite
The management committee will oversee disciplinary procedures and any mechanism for appeals by members in respect of disciplinary action taken against them.
The management committee reserves the right to terminate or suspend a membership in exceptional circumstances where a member's behaviour has brought the club into disrepute.
4. Membership Fees
Membership fees will be set annually and determined at the Annual General Meeting. Fees may be paid by annual subscription or on a monthly basis.
5. Officers of the Club

Officers will be elected annually at the Annual General Meeting. A term of service is three years with a maximum service of nine years.
At least three people on the governing committee must be neither related to nor cohabiting with other committee members. Elected officers will complete a declaration of interest form, with any conflicts managed and recorded by the Chair.
6. Committee
The club will be managed through the Management Committee consisting of the Chair, Secretary, Treasurer, and Club Welfare Officer. Only these posts will have the right to vote at meetings of the Management Committee.
The Management Committee will be convened by the Secretary and held no less than four times per year.
The quorum required for business to be agreed at Management Committee meetings will be three.
The Management Committee will be responsible for adopting new policy, codes of conduct, and rules that affect the organisation of the club. It will have powers to appoint sub-committees and advisers as necessary.
The Management Committee will be responsible for disciplinary hearings of members who infringe club rules and for taking any action of suspension or discipline following such hearings.
7. Finance
All club monies will be banked in an account held in the name of the club.
The Club Treasurer will be responsible for the finances of the club.
The financial year of the club will end on 31 March each year.
An audited statement of annual accounts will be presented by the Treasurer at the Annual General Meeting.
Any payments via online banking are to be agreed in writing between the Treasurer and at least one other officer.
Any surplus generated by the club will be reinvested into the club and its programmes in line with the CIC's not-for-profit status.
8. Annual General Meetings and General Committee Meetings
Notice of the Annual General Meeting will be given by the Club Secretary no less than 21 clear days before the meeting.
The AGM will receive a report from officers of the Management Committee and a statement of the audited accounts. Nominations for officers will be sent to the Secretary prior to the AGM. Elections of officers will take place at the AGM. All members have the right to vote at the AGM. The quorum for AGMs will be a minimum of three members.
The Management Committee has the right to call Extraordinary General Meetings outside the AGM, following the same procedures as the AGM.
In the case of general committee meetings, the Secretary will give at least 14 clear days' notice, which may be given via email.
9. Discipline and Appeals
All complaints regarding the behaviour of members should be submitted in writing to the Chair.
The Management Committee will meet to hear complaints within 14 days of a complaint being lodged. The committee has the power to take appropriate disciplinary action including the termination of membership.
The outcome of a disciplinary hearing will be notified in writing to all relevant parties within 7 days of the hearing.
There will be a right of appeal to the Management Committee following disciplinary action. The committee will consider any appeal within 14 days of the Secretary receiving it.
10. Dissolution
A resolution to dissolve the club can only be passed at an AGM or EGM through a majority vote of the membership.
In the event of dissolution, any assets of the club that remain after all liabilities have been satisfied will be transferred to Lockleaze Neighbourhood Trust (Charity Number 1063275, Company Number 03372115), as specified in the Articles of Association of Southwest Warriors C.I.C.
11. Amendments to the Constitution
The constitution will only be changed through agreement by majority vote at an AGM or EGM.
Declaration
Southwest Warriors CIC hereby adopts and accepts this constitution as a current operating guide regulating the actions of members.
